Terms of Service

1. Agreement to Terms

By accessing or using MCPsoup's logistics management platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, then you may not access the Service.

These Terms constitute a legally binding agreement between you and MCPsoup ("we," "our," or "us"). You represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Service

MCPsoup provides a logistics management platform that includes intelligent automation, customizable Smart Agent interfaces, MCP ports, and related services. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts

3.1 Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Immediately notify us of any unauthorized use of your account or any other breach of security
• Ensure that you exit from your account at the end of each session
• Use strong passwords and keep your login credentials secure

We are not liable for any loss or damage arising from your failure to comply with this section.

4. Acceptable Use

You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate us, our employees, another user, or any other person or entity
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To introduce viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service or related systems

5. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by MCPsoup and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove any copyright or other proprietary notices from the Service
• Use our trademarks, logos, or trade dress without our prior written consent

6. User Content

You retain ownership of any content, data, or information you submit, upload, or transmit through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and operating the Service.

You represent and warrant that you own or have the necessary rights to submit User Content and that such content does not violate any third-party rights or applicable laws.

7. Payment Terms

Certain features of the Service may require payment. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your subscription
• Provide accurate billing information
• Authorize us to charge your payment method for the applicable fees

Fees are non-refundable except as required by law or as otherwise specified in a separate agreement. We reserve the right to change our pricing at any time, with advance notice to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, MCPsoup DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

MCPsoup does not warrant that:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from use of the Service will be accurate or reliable
• Any errors or defects in the Service will be corrected
• The Service is free of viruses or other harmful components

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MCPsoup, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF MCPsoup HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

In no event shall MCPsoup's total liability to you for all damages exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless MCPsoup, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to:

• Your User Content
• Your use of the Service in violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations

11. Data Breaches and Security Incidents

YOU ACKNOWLEDGE AND AGREE THAT:

• No method of transmission over the internet or method of electronic storage is 100% secure
• We cannot guarantee absolute security of your data
• You use the Service at your own risk
• We are not liable for any unauthorized access to, use of, alteration of, or disclosure of your data, including but not limited to data breaches, hacking incidents, or security vulnerabilities
• You are responsible for maintaining adequate security measures for your own systems and data
• We are not responsible for any third-party security breaches or incidents

In the event of a data breach or security incident affecting your data, our liability, if any, shall be limited as set forth in Section 9 (Limitation of Liability) above. We disclaim all responsibility and liability for any damages, losses, or expenses arising from any security breach, data breach, unauthorized access, or similar incident.

12. Service Availability

We do not guarantee that the Service will be available at all times or that it will be free from interruptions, errors, or defects. We reserve the right to:

• Modify or discontinue the Service at any time
• Perform scheduled or unscheduled maintenance
• Suspend or terminate access to the Service for any reason

We are not liable for any loss or damage resulting from Service unavailability or interruptions.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution
